Service Appendix

1. Definitions

DID Number

A Direct Inward Dialing number enabling the user to receive incoming calls.

Mobile Number

A DID number that is part of a numbering range intended within a numbering plan for mobile communications.

Toll Free Number

A DID Number to which calls are paid by Customer and are free of charge to the calling party within the country.

Shared Cost Number

A DID Number to which the cost of calls is shared by the calling party and the Customer.

Metered Number

A DID Number to which calls are billed per minute.

UIFN

Universal International Toll Free Number.

Number

A DID, Mobile DID, Toll Free Shared Cost, Metered or UIFN number.

Capacity

The amount of Channels assigned to the Customer.

Channel

A channel capable of transmission of a single voice call.

Dedicated Channel

A Channel dedicated to a specific Number.

Flexible Channel

A Channel that can be assigned to several Numbers or Number groups of a single Customer.

Metered Channel

A Flexible Channel for which calls are billed per minute.

SMS Message

An alpha-numeric message sent by an SMS capable device.

SMS

Short Messaging Service: a system for sending and receiving SMS Messages from mobile phones and compatible devices to mobile phone numbers and SMS enabled DIDs.

A2P SMS

Transmission of SMS Messages from an application or system to multiple destination mobile numbers.

P2P SMS

Transmission of SMS Message by natural person performing an action that leads to the transmission of a single SMS Message to one or a limited number of destination mobile numbers.

Local Outbound Termination

The routing of voice traffic to the Destination Number by means of a local routing point.

International Outbound Termination

The routing of voice traffic to the Destination Number by means of an international routing point.

Destination Number

A telephone number to which a Customer wishes to place a voice call by means of Termination Services.

Trunk

A direct connection between two points.

Inbound Trunk

A Trunk used to route voice calls from the PSTN by means of Numbers, to the destination defined by Customer, including SIP, phone.systems™ and PSTN.

Outbound Trunk

A Trunk used to route voice calls for Outbound Termination to the PSTN network.

PSTN

Public Switched Telephone Network: traditional telephone network that is based on analog technology.

PBX

A Private Branch Exchange, typically used to route calls within a company or organization.

phone.systems™

A multi-tenant hosted cloud-based platform that allows a Customer to receive PBX services without installing equipment on their premises.

NRA

The National Regulatory Authority or any other competent authority that has jurisdiction in the country where a DID Number originates.

End User

A natural or legal person that directly or indirectly uses the Services provided by DIDWW as is or as part of additional services provided by Customer.

2. DID Number Service

2.1. Description of the Service
2.1.1. This Service comprises of one or more DID Numbers at which Customer may receive incoming calls.
2.1.2. The charges associated with DID Services may include a setup fee (NRC) and a monthly recurring charge (MRC). NRC and MRC apply at the beginning of each Service period for the entire period.
2.1.3. The Minimum Service Term is one full month. Service Orders are renewed automatically until cancelled.
2.1.4. For Metered Services (including Metered Numbers and Metered Channels) a charge for each minute of traffic applies according to the relevant Price List.
2.1.5. Per minute charges are calculated in increments of 60 seconds and apply as they are incurred.
2.1.6. DIDWW may change DID Number prices and per minute rates. DIDWW will provide a notice period of 30 days for price changes to DID Numbers, and 2 days for changes in per minute rates. In cases where the price changes were mandated by the NRA, within less than the notice period, price changes will be effective according to the mandate and DIDWW will notify Customer as soon as it is practical to do so.
2.1.7. Numbers are assigned upon Service Order and subject to availability.
2.1.8. Customer may order additional Capacity to any Number provided that the Number does not have capacity limitations and in accordance with the applicable Service Order.
2.1.9. Customer is responsible for provision and management of Capacity so as to support its specific requirements and will order Channels as needed from DIDWW. DIDWW may request that the Customer adjust Capacity to accommodate actual usage. If Customer fails to comply within a reasonable time frame DIDWW may suspend or terminate the Service.
2.1.10. Customer acknowledges that DIDWW transmits the CLI in compliance with the applicable international rules and standards from the point of entry to the point of exit of its network. By selecting a CLI format other than the default E.164 format, Customer explicitly agrees to be fully responsible for any consequences resulting from the altered presentation. Customer also agrees that DIDWW may at its sole discretion and without notice in advance modify the CLI format in the event that an NRA requests DIDWW to do so.
2.1.11. Customer acknowledges and agrees to abide with the guiding principles on CLI presentation (CLIP) and CLI restriction (CLIR). In particular, Customer will (i) upon terminating a call to the End User, show the CLI when the caller opted for CLIP and block CLI presentation when the caller opted for CLIR, and (ii) keep CLI information confidential and only make use of CLI information for the purpose of providing a telecommunication service (call conveyance, operator assistance, emergency services, customer care, billing and managing the network). Customer shall not use CLI information for other commercial activities such as marketing or the advertising of any services.
2.2 Limitations
2.2.1. Customer acknowledges that the Service may not offer all of the features expected of a traditional phone line. Service may sometimes be unavailable due to causes outside of DIDWW’s control, for example, due to power disruptions or ISP or broadband connection failures.
2.2.2. DIDWW takes steps to ensure maximum accessibility of its Numbers to as many mobile and fixed networks as possible through interoperability of services. However, as DIDWW relies on the interoperability of services from its local partners in each country for end-to-end connectivity, DIDWW does not represent nor make any commitment that Numbers will be reachable from all mobile and fixed networks.
2.2.3. Customer acknowledges and agrees that the DIDWW infrastructure does not necessarily support or carry emergency calls. In order to make such calls Customer will require other means. Customer is fully and solely responsible to provide the Service for its End Users in any jurisdiction in which it is required by law and to otherwise inform the End User of any emergency call limitations.
2.2.4. Customer agrees that if service involving the use of USA Numbers is considered a “VoIP interconnected service”, provided by Customer to End User (AS-IS or in conjunction with other services), Customer is obligated to provide the Service fully in compliance with all FCC requirements applicable to “VoIP interconnected services”, including but not limited to emergency services.
2.3 Restrictions
2.3.1. Subject to regulatory and legal jurisdiction restrictions, Customer may use the Service for its own use and/or offer it as a service or a component of a service to End Users. Customer is fully and solely responsible to comply with all applicable legal and jurisdiction restrictions and Numbering Plans in all its operations.
2.3.2. Callback Calls: Customer acknowledges and agrees that the Service provided by DIDWW must not be used for callback applications except where (i) permitted in the Customer’s jurisdiction and (ii) approved by DIDWW and (iii) ordered separately under the terms defined in the applicable Service Order. Customer is fully and solely responsible for making End Users aware of any callback prohibition.
2.3.3. Calling Cards: Customer acknowledges and agrees that the Service provided by DIDWW must not be used for Calling card applications except where (i) permitted in the Customer’s jurisdiction and (ii) approved by DIDWW and (iii) subject to any other conditions as defined by DIDWW. Customer is fully and solely responsible for making End Users aware of any Calling card prohibition.
2.3.4. Collect Calls: Customer acknowledges and agrees that collect calls to DID Numbers must not be accepted. Customer will ensure that End Users refrain from accepting collect calls. “Collect calls” are calls for which the End User may take at his charge the costs of incoming telephone calls. In case collect calls are accepted by End User Customer agrees to bear all associated costs and expenses in addition to a 50$ processing fee per DID Number, per month.
2.3.5. Ring tone and early media: If using early media with the Service, Customer must ensure that such use is not unlawful, abusive or excessive.

3. Toll Free, UIFN and Shared Cost Service

3.1. Description of the Service
3.1.1. This Service comprises of one or more Toll Free, UIFN or Shared Cost Numbers at which Customer may receive incoming calls.
3.1.2. The charges associated with DIDWW Toll Free, UIFN and Shared Cost Services may include a setup fee (NRC), a monthly recurring charge (MRC) and charges for each minute of traffic, according to the relevant Price List. NRC and MRC apply at the beginning of each Service period for the entire period.
3.1.3. The Minimum Service Term is one full month. Service Orders are renewed automatically until cancelled.
3.1.4. Per minute charges are calculated in increments of 60 seconds and apply as they are incurred.
3.1.5. DIDWW may change Toll Free, UIFN and Shared Cost Number prices and per minute rates. DIDWW will provide a notice period of 30 days for price changes to Toll Free, UIFN and Shared Cost Numbers, and 2 days for changes in per minute rates. In cases where the price changes were mandated by the NRA, within less than the notice period, price changes will be effective according to the mandate and DIDWW will notify Customer as soon as it is practical to do so.
3.1.6. Toll Free, UIFN and Shared Cost Numbers are assigned upon Service Order and subject to availability. Allocation conditions may apply to Numbers by the relevant NRA.
3.1.7. DIDWW provides all Toll Free, UIFN and Shared Cost Numbers with 300 Dedicated Channels, unless otherwise stated on the relevant Price List or Service Order.
3.1.8. Customer may order additional Dedicated Channels provided that the Number does not have Capacity limitations and in accordance with the applicable Service Order.
3.1.9. Customer is responsible for management of Capacity so as to support its specific requirements and will order Channels as needed from DIDWW.
3.1.10. Customer acknowledges that DIDWW transmits the CLI in compliance with the applicable international rules and standards from the point of entry to the point of exit of its network. By selecting a CLI format other than the default E.164 format, Customer explicitly agrees to be fully responsible for any consequences resulting from the altered presentation. Customer also agrees that DIDWW may at its sole discretion and without notice in advance modify the CLI format in the event that an NRA requests DIDWW to do so.
3.1.11. Customer acknowledges and agrees to abide with the guiding principles on CLI presentation (CLIP) and CLI restriction (CLIR). Customer accepts these risks and agrees that DIDWW is not responsible for any losses or damages incurred by Customers’ use of the Service.
3.2. Limitations
3.2.1. Customer acknowledges that the Service may not offer all of the features expected of a traditional phone line. Service may sometimes be unavailable due to causes outside of DIDWW’s control, for example, due to power disruptions or ISP or broadband connection failures.
3.2.2. DIDWW takes steps to ensure maximum accessibility of its Numbers to as many mobile and fixed networks as possible through interoperability of services. However, as DIDWW relies on the interoperability of services from its local partners in each country for end-to-end connectivity, DIDWW does not represent nor make any commitment that Numbers will be reachable from all mobile and fixed networks.
3.2.3. UIFN numbers can only be accessed from countries included in the ITU UIFN program.
3.2.4. Customer agrees that if service involving the use of USA Numbers is considered a “VoIP interconnected service”, provided by Customer to End User (AS-IS or in conjunction with other services), Customer is obligated to provide the Service fully in compliance with all FCC requirements applicable to “VoIP interconnected services”, including but not limited to emergency services.
3.3. Restrictions
3.3.1. Subject to regulatory and legal jurisdiction restrictions, Customer may use the Service for its own use and/or offer it as a service or a component of a service to End Users. Customer is fully and solely responsible to comply with all applicable legal and jurisdiction restrictions and Numbering Plans in all its operations.
3.3.2. Callback Calls: Customer acknowledges and agrees that the Service provided by DIDWW must not be used for callback applications except where (i) permitted in the Customer’s jurisdiction and (ii) approved by DIDWW and (iii) ordered separately under the terms defined in the applicable Service Order. Customer is fully and solely responsible for making End Users aware of any callback prohibition.
3.3.3. Calling cards: Customer acknowledges and agrees that the Service provided by DIDWW must not be used for Calling card applications except where (i) permitted in the relevant jurisdictions and (ii) approved by DIDWW and (iii) subject to any other conditions as defined by DIDWW. Customer is fully and solely responsible for making End Users aware of any Calling card prohibition.
3.3.4. Ring tone and early media: If using early media with the Service and/or Numbers, Customer must ensure that such use is not unlawful, abusive or excessive.
3.3.5. Unused Numbers: Toll free and Shared Cost Numbers that remain unused for a period of three months may be reclaimed by the regulator without prior notice.

4. SMS P2P Messaging

4.1. Description of the Service
4.1.1. This Service comprises of one or more Numbers that are enabled to send and/or receive SMS Messages. Outbound SMS Messages are delivered by HTTP or SMPP SMS OUT Trunk. Inbound SMS Messages are delivered to Customer by email, HTTP or SMPP SMS IN Trunk.
4.1.2. The charges associated with SMS Messages may include a setup fee (NRC), a monthly recurring charge (MRC) and charges for each in or out bound SMS Message, according to the relevant Price List. NRC and MRC apply at the beginning of each Service period for the entire period, and per message fees apply as they are incurred.
4.1.3. The Minimum Service Term is one full month. Service Orders are renewed automatically until cancelled.
4.1.4. DIDWW may change SMS Services rates. DIDWW will provide a notice period of 30 days for price changes to the NRC and MRC, and 2 days for changes in per use rates. In cases where the price changes were mandated by the relevant NRA, within less than the notice period, price changes will be effective according to the mandate and DIDWW will notify Customer as soon as it is practical to do so.
4.1.5. Customer is aware that due to the nature of per usage costs on SMS Messages, there are risks associated with their use, including but not limited to the financial risk of excessive unintended traffic. Customer accepts these risks and agrees that DIDWW is not responsible for any losses or damages incurred by Customers’ use of the Service.
4.2. Limitations
4.2.1. Customer acknowledges that the Service may not offer all of the features expected of a traditional SMS Messaging Service. Service may sometimes be unavailable due to causes outside of DIDWW’s control, for example, due to power disruptions or ISP or broadband connection failures
4.2.2. DIDWW takes steps to ensure maximum accessibility of its Numbers to as many mobile and fixed networks as possible through interoperability of services. However, as DIDWW relies on the interoperability of services from its local partners in each country for end-to-end connectivity, DIDWW does not represent nor make any commitment that Numbers will be reachable from all mobile and fixed networks.
4.2.3. P2P messages are initiated by a natural person performing an action that leads to the transmission of a single message to one or a limited number of destination telephone numbers. Customer is responsible for ensuring that all SMS traffic is compliant with P2P messaging standards. It is Customer's responsibility to take appropriate action to stop any SMS traffic that is not P2P compliant.
4.2.4. The expected ratio between outbound and inbound SMS DID is 50:50.
4.2.5. A single SMS Message is limited to 160 GSM-7 encoding characters. A single SMS Message containing any UCS-2 character(s) is limited to 70 characters.
4.2.6. An SMS Message that is over the character limits define in clause 5 above will be converted into a multi-part message. Multi-part messages are limited to 153 characters with GSM-7 encoding or with UCS-2 characters per message part.
4.3. Restrictions
4.3.1. Subject to regulatory and legal jurisdiction restrictions, Customer may use the Service for its own use and/or offer it as a service or a component of a service to End Users. Customer is fully and solely responsible to comply with all applicable legal and jurisdiction restrictions and Numbering Plans in all its operations.
4.3.2. DIDWW SMS enabled Numbers must not be used for outgoing SMS via third party providers.
4.3.3. Content: Customer shall not use the Service or authorize the Service to be used directly or indirectly, to transmit Inappropriate Content. Inappropriate Content shall mean but is not limited to: any message, that contains unsolicited material, spam; violates applicable laws; constitutes hate directed at an individual or a group based on race, sex, national origin, religious affiliation, sexual orientation or language of such individual or group; contains obscene or sexually explicit material.

5. SMS A2P Messaging

5.1. Description of the Service
5.1.1. This Service comprises of one or more Numbers that are enabled to send and/or receive SMS Messages. Outbound SMS Messages are delivered by HTTP or SMPP SMS OUT Trunk. Inbound SMS Messages are delivered to Customer by email, HTTP or SMPP SMS IN Trunk.

5.1.4. DIDWW may change SMS Services rates. DIDWW will provide a notice period of 30 days for price changes to the NRC and MRC, and without notice for changes in per use rates. In cases where the price changes were mandated by the relevant NRA, within less than the notice period, price changes will be effective according to the mandate and DIDWW will notify Customer as soon as it is practical to do so.
5.1.5. Customer is aware that due to the nature of per usage costs on SMS Messages, there are risks associated with their use, including but not limited to the financial risk of excessive unintended traffic. Customer accepts these risks and agrees that DIDWW is not responsible for any losses or damages incurred by Customers’ use of the Service.
5.2. Limitations
5.2.1. Customer acknowledges that the Service may not offer all of the features expected of a traditional SMS Messaging Service. Service may sometimes be unavailable due to causes outside of DIDWW’s control, for example, due to power disruptions or ISP or broadband connection failures.
5.2.2. DIDWW takes steps to ensure maximum accessibility of its Numbers to as many mobile and fixed networks as possible through interoperability of services. However, as DIDWW relies on the interoperability of services from its local partners in each country for end-to-end connectivity, DIDWW does not represent nor make any commitment that Numbers will be reachable from all mobile and fixed networks.
5.2.3. A single SMS Message is limited to 160 GSM-7 encoding characters. A single SMS Message containing any UCS-2 character(s) is limited to 70 characters.
5.2.4. An SMS Message that is over the character limits defined in clause 3 above will be converted into a multi-part message. Multi-part messages are limited to 153 characters with GSM-7 encoding or with UCS-2 characters per message part.
5.2.5. The Customer shall be liable for all charges and fees arising from the use of the A2P SMS Service whether authorized or unauthorized, unless such unauthorized use is solely attributable to an act or omission on the part of DIDWW.
5.3. Restrictions
5.3.1. DIDWW SMS enabled Numbers must not be used for outgoing SMS via third party providers.
5.3.2. Content: Customer shall not use the Service or authorize the Service to be used directly or indirectly, to transmit Inappropriate Content. Inappropriate Content shall mean but is not limited to: any message, that contains unsolicited material, spam; violates Applicable Law; constitutes hate directed at an individual or a group based on race, sex, national origin, religious affiliation, sexual orientation or language of such individual or group; contains obscene or sexually explicit material.
5.3.3. Choice and consent: Customer shall and will ensure that End Users both shall obtain, and will maintain, all applicable call to action mechanisms, consents, approvals, permissions and opt-out mechanisms required by the applicable laws, regulations and guidelines regarding A2P messaging of the jurisdictions of the DID Numbers.
5.3.4. Customer shall maintain accurate and complete A2P campaign registration information with DIDWW A2P Campaign Registry.
5.3.5. Customer is responsible for ensuring that all SMS traffic is compliant with A2P messaging standards. It is Customer’s responsibility to take appropriate action to stop any SMS traffic that is not.
5.3.6. Customer shall operate in accordance with rules, regulations, best practices and guidelines published by MNOs operating in the jurisdiction in which the persons targeted by A2P campaigns reside.

6. Local Outbound Termination

6.1. Description of the Service
6.1.1. This Service comprises of routing by DIDWW of voice traffic that originates from Customer to the Destination Number by means of a local routing point.
6.1.2. Local Outbound Termination rate quotes are per minute. An initial billing interval and subsequent billing intervals apply, and a call setup fee may apply, as listed in the PSTN Termination Rate sheet applicable to Customer.
6.1.3. Charges for traffic apply as they are incurred.
6.1.4. DIDWW may change Local Outbound Termination rates with 7 (seven) days prior notice.
6.1.5. DIDWW provides Local Outbound Termination without capacity limitations. Customer may choose to limit the amount of concurrent calls for the entire account or specific Trunks by means of the web portal. Customer is responsible for management of Capacity so as to support its specific requirements.
6.1.6. Customer acknowledges that DIDWW transmits the CLI in compliance with the applicable international rules and standards from the point of entry to the point of exit of its network. By selecting a CLI format other than the default E.164 format, Customer explicitly agrees to be fully responsible for any consequences resulting from the altered presentation. Customer also agrees that DIDWW may at its sole discretion and without notice in advance modify the CLI format in the event that an NRA requests DIDWW to do so.
6.1.7. Customer is aware that due to the nature of Local Outbound Termination, there are risks associated with its use, including but not limited to the financial risk of excessive unintended traffic. Customer accepts these risks and agrees that DIDWW is not responsible for any losses or damages incurred by Customers’ use of the Service.
6.2. Limitations
6.2.1. Customer acknowledges that the Service may not offer all of the features expected of a traditional phone line. Service may sometimes be unavailable due to causes outside of DIDWW’s control, for example, due to power disruptions or ISP or broadband connection failures.
6.2.2. DIDWW takes steps to ensure maximum accessibility of its Local Outbound Termination to as many mobile and fixed networks as possible through interoperability of services. However, as DIDWW relies on the interoperability of services from its local partners in each country for end-to-end connectivity, DIDWW does not represent nor make any commitment that all Destination Numbers will be reachable.
6.2.3. The Customer shall be liable for all charges and fees arising from the use of the Local Outbound Termination Service whether authorized or unauthorized, unless such unauthorized use is solely attributable to an act or omission on the part of DIDWW. The use of Local Termination Service for the purpose of avoiding surcharges is considered unauthorized use.
6.2.4. Customer agrees that if service involving the use of Local Outbound Termination and USA Numbers is considered a “VoIP interconnected service”, provided by Customer to End User (AS-IS or in conjunction with other services), Customer is obligated to provide the Service fully in compliance with all FCC requirements applicable to “VoIP interconnected services”, including but not limited to emergency services.
6.3. Restrictions
6.3.1. Subject to regulatory and legal jurisdiction restrictions, Customer may use the Service for its own use and/or offer it as a service or a component of a service to End Users. Customer is fully and solely responsible to comply with all applicable legal and jurisdiction restrictions and Numbering Plans in all its operations.
6.3.2. Unsolicited calls and do not call lists: Customer shall and will ensure that End Users both abide by the applicable laws, regulations and guidelines regarding do not call lists and unsolicited calls of the jurisdictions of all destination numbers, and of the DID Numbers.
6.3.3. Callback Calls: Customer acknowledges and agrees that the Service provided by DIDWW must not be used for callback applications except where (i) permitted in the Customer’s jurisdiction and (ii) approved by DIDWW and (iii) ordered separately under the terms defined in the applicable Service Order. Customer is fully and solely responsible for making End Users aware of any callback prohibition.
6.3.4. The Service must not be used to avoid surcharges for international calls between EU countries and the rest of the world. In any such use the DIDWW will apply the difference between origin based rates and international rates to applicable traffic and charge this difference to Customer.

7. International Outbound Termination

7.1. Description of the Service
7.1.1. This Service comprises of routing by DIDWW of voice traffic that originates from Customer to the Destination Number by means of an international routing point.
7.1.2. International Outbound Termination rate quotes are per minute. An initial billing interval and subsequent billing intervals apply, and a call setup fee may apply, as listed in the PSTN Termination Rate sheet applicable to Customer.
7.1.3. Charges for traffic apply as they are incurred.
7.1.4. DIDWW may change Outbound Termination rates with 7 (seven) days prior notice.
7.1.5. DIDWW provides Outbound Termination without Capacity limitations. Customer may choose to limit the amount of concurrent calls for the entire account or specific Trunks by means of the Web portal. Customer is responsible for management of Capacity so as to support its specific requirements.
7.1.6. Customer acknowledges that DIDWW transmits the CLI in compliance with the applicable international rules and standards from the point of entry to the point of exit of its network. 7.2.2. DIDWW takes steps to ensure maximum accessibility of its Outbound Termination to as many mobile and fixed networks as possible through interoperability of Services. However, as DIDWW relies on the interoperability of services from its local partners in each country for end-to-end connectivity, DIDWW does not represent nor make any commitment that all Destination Numbers will be reachable.
7.2.3. The Customer shall be liable for all charges and fees arising from the use of the International Outbound Termination Service whether authorized or unauthorized, unless such unauthorized use is solely attributable to an act or omission on the part of DIDWW.
7.2.4. Customer agrees that if service involving the use of USA Numbers is considered a “VoIP interconnected service”, provided by Customer to End User (AS-IS or in conjunction with other services), Customer is obligated to provide the Service fully in compliance with all FCC requirements applicable to “VoIP interconnected services”, including but not limited to emergency services.
7.3. Restrictions
7.3.1. Subject to regulatory and legal jurisdiction restrictions, Customer may use the Service for its own use and/or offer it as a service or a component of a service to End Users. Customer is fully and solely responsible to comply with all applicable legal and jurisdiction restrictions and Numbering Plans in all its operations.
7.3.2. Unsolicited calls and do not call lists: Customer shall and will ensure that End Users both abide by the applicable laws, regulations and guidelines regarding do not call lists and unsolicited calls of the jurisdictions of all destination numbers, and of the DID Numbers.
7.3.3. Callback Calls: Customer acknowledges and agrees that the Service provided by DIDWW must not be used for callback applications except where (i) permitted in the Customer’s jurisdiction and (ii) approved by DIDWW and (iii) ordered separately under the terms defined in the applicable Service Order. Customer is fully and solely responsible for making End Users aware of any callback prohibition.
7.3.4. The Service must not be used to avoid surcharges for international calls between EU countries and the rest of the world. In any such use the DIDWW will apply the difference between origin based rates and international rates to applicable traffic and charge this difference to Customer.

8. phone.systems™

8.1. Description of the Service
8.1.1. This Service comprises of one or more instances of a hosted IP PBX.
8.1.2. The charges associated with the Service may include a setup fee (NRC), a monthly recurring charge (MRC) and per usage charges based on the amount of calls and their duration according to the relevant Price List. NRC and MRC apply at the beginning of each Service period and usage based fees apply as they are incurred.
8.1.3. DIDWW will provide a notice period of 30 days for price changes to the NRC and MRC, and 2 days for changes in per use rates. In cases where the price changes were mandated by the relevant NRA, within less than the notice period, price changes will be effective according to the mandate and DIDWW will notify Customer as soon as it is practical to do so.
8.1.4. Customer is solely responsible for the management and configuration of the Service.
8.1.5. Upon cancellation of Customer’s paid Service Customer’s configuration is maintained and basic free service plan is applied.
8.1.6. Customer is aware that due to the nature of per usage costs of outbound termination services, there are risks associated with their use in combination with the Service, including but not limited to the financial risk of excessive unintended traffic. Customer accepts these risks and agrees that DIDWW is not responsible for any losses or damages incurred by Customers’ use of the Service, including charges by Customer’s third party services providers that were configured to be used with the Service.
8.2. Limitations
8.2.1. This Service is an add on to and does not include telecom services such as numbers, inbound or outbound trunks. It is Customer’s responsibility to procure these separately and configure them accordingly. DIDWW is not responsible for and does not endorse third party services or their interoperability with the Service. Customer has sole discretion whether to purchase or connect to any third party services, is responsible for their configuration, and use of such is governed solely by the terms for those third party services.
8.2.2. The Customer shall be liable for all charges and fees arising from the use of the Service whether authorized or unauthorized, unless such unauthorized use is solely attributable to an act or omission on the part of DIDWW.
8.2.3. Customer acknowledges that the Service may not offer all of the features expected of a traditional PBX or phone service. Service may sometimes be unavailable due to causes outside of DIDWW’s control, for example, due to power disruptions or ISP or broadband connection failures.
8.2.4. The quality of voice communications while using the Service depends on multiple factors which are out of control of DIDWW, such as the Internet connection between DIDWW, the Customer and Customer’s inbound and outbound trunk providers, as well as between DIDWW and the End User’s SIP or other devices.
8.2.5. Customer acknowledges and agrees that the phone.systems™ Service does not include emergency calls. Although emergency calls can be made when supported to and subscribed by a third party service provider configured to work with the Service, End Users should use and Customer must provide End Users with other means to make emergency calls. Customer is fully and solely responsible to provide the additional means to call emergency services for its End Users in any jurisdiction in which it is required by law to do so and to inform the End User of any emergency call limitations when using the Service and any additional means available to them to make emergency calls.
8.3. Restrictions
8.3.1. Subject to regulatory and legal jurisdiction restrictions, Customer may use the Service for its own use and/or offer it as a service or a component of a service to End Users. Customer is fully and solely responsible to comply with all applicable legal and jurisdiction restrictions and Numbering Plans in all its operations.
8.3.2. phone.systems™ allows recording of audio during sessions. Customer is responsible for applying the local laws in the relevant jurisdictions when using this feature. Audio recordings are delivered to third party services selected by Customer (cloud base storage and email) and are not stored on DIDWW systems. We disclaim all liability arising from Customer’s use of recordings of audio and Customer agrees to hold us harmless from any claims related to the recording of any audio.

9. Coverage

9.1. The list of countries in which Services are available is posted on the Website and updated from time to time.

10. Service Term

10.1. The Service term shall be in accordance with the applicable Service Order but in no event shall be shorter than one (1) month (“Minimum Service Term”).
10.2. The provision of a Number provided to Customer under this Service Description Appendix shall not be deemed a transfer of property or sale of the numbering rights, and Numbers will be reassigned to DIDWW upon expiry of the Service term.

11. Number Portability

Number portability will be handled by both parties in accordance with the regulatory and legal procedures and guidelines as defined by the NRA.
11.1. Upon request from an End User and regardless of Customer DIDWW will not refuse to port-out a Number if number portability is supported in such country.
11.2. DIDWW may charge Customer any third-party costs incurred by and charged to DIDWW associated herewith. Customer will only charge any costs associated with a porting of a Number to the End User if the NRA allows it.

12. Integral Part of MSA

This Service Description Appendix is an integral part of the MSA between DIDWW and Customer for the delivery of the relevant Services. In case of a conflict, the wording of the MSA shall have precedence.
